1. Acceptance of Terms

By accessing or using todolist.live (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, whether accessed directly or through AI assistants such as Claude, ChatGPT, or other AI clients using the Model Context Protocol (MCP).

2. Description of Service

todolist.live provides a simple, AI-native todo list platform that allows users to:

• Create and manage todo lists through AI assistants
• Store tasks, items, and related information
• Access their lists across different AI conversations and sessions
• Sync data across devices through API access

The Service is provided free of charge and is designed to be accessed primarily through AI assistants using our API and MCP server implementation.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. Accounts are created through your AI assistant, which will:

• Ask for your explicit consent before creating an account
• Request a valid email address
• Generate a secure API key for accessing your data
• Send a verification email to confirm your email address

3.2 Email Verification

• You have 10 days to verify your email address after account creation
• Unverified accounts have limited features (5 lists, 100 items maximum)
• After 10 days without verification, your account will be locked
• Locked accounts are read-only and will be deleted after 30 days
• You can verify your email anytime to unlock your account and restore full access

3.3 Account Eligibility

• You must be at least 13 years old to use the Service
• You must provide a valid, permanent email address (no disposable email services)
• You are responsible for maintaining the security of your API key
• One account per email address

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service to:

• Create and manage personal todo lists
• Store tasks, schedules, and related information
• Access your data through AI assistants and API calls
• Export your data at any time

4.2 Prohibited Uses

You may NOT use the Service to:

• Abuse the Service: Create fake accounts, spam, or generate excessive API requests
• Violate Laws: Store illegal content or use the Service for unlawful purposes
• Harm Others: Store content that infringes on others' rights or contains harmful material
• Circumvent Limits: Attempt to bypass rate limits, security measures, or account restrictions
• Reverse Engineer: Attempt to access source code, reverse engineer, or compromise the Service
• Resell or Redistribute: Resell access to the Service or use it for commercial purposes without permission
• Impersonate: Create accounts using others' email addresses without permission

4.3 Consequences of Violation

Violation of these Terms may result in:

• Temporary or permanent suspension of your account
• Deletion of your data
• Legal action if necessary

5. Service Limits

These limits are designed to ensure fair use and prevent abuse. We reserve the right to adjust these limits or introduce additional tiers in the future.

6. Your Data and Privacy

6.1 Data Ownership

You retain all rights to the content you create on todolist.live. We do not claim ownership of your todo lists, tasks, or any other data you store.

6.2 Data Access

Your data is accessible only by you through your API key. We do not:

• Access your data for any purpose other than providing the Service
• Share your data with third parties (except as required by law)
• Use your data for advertising, AI training, or data mining
• Sell or rent your personal information

6.3 Data Portability

You can export all your data at any time in standard JSON format through the API's export_account_data endpoint.

6.4 Data Deletion

You can request deletion of your account and all associated data at any time. Upon deletion:

• Your account enters a 30-day grace period (you can cancel the deletion during this time)
• After 30 days, all data is permanently deleted from our active databases
• Backup copies are removed within 30 days of deletion

7. Intellectual Property

7.1 Service Ownership

todolist.live, including its API, MCP server implementation, website, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws.

7.2 Open Source Components

Our MCP server implementation is open source and available on GitHub under the MIT License. You are free to use, modify, and distribute the MCP server code according to the license terms.

7.3 Trademarks

"todolist.live" and our logo are trademarks. You may not use them without our written permission, except as necessary to reference the Service.

8. Service Availability

8.1 No Uptime Guarantee

While we strive to provide reliable service, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Security incidents
• Force majeure events

8.2 Service Changes

We reserve the right to:

• Modify or discontinue features
• Update the API or MCP server implementation
• Change service limits or pricing (with advance notice)
• Suspend or terminate the Service

We will provide reasonable notice of material changes when possible.

9. Disclaimers and Limitations of Liability

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Liability for Data Loss

While we implement reasonable backup and security measures, we are not liable for:

• Loss of data due to technical failures
• Unauthorized access to your account (if caused by your failure to secure your API key)
• Service interruptions or outages
• Bugs or errors in the Service

You are responsible for maintaining your own backups of important data.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you store on the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time by requesting account deletion through the API. Termination is effective after the 30-day grace period.

11.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• We detect abusive or fraudulent activity
• Required by law or legal process
• We discontinue the Service

We will provide notice when possible and allow you to export your data before permanent deletion.

12. Dispute Resolution

12.1 Informal Resolution

12.2 Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and todolist.live regarding the Service.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor.
